1. Acceptance of This Agreement

Welcome to OnlyReal. OnlyReal is operated by Onlyreal Limited ("OnlyReal", "we", "us" or "our").

By downloading, browsing, registering for, signing in to, clicking "Continue", "Sign in", "Create account" or another button indicating acceptance, or otherwise using the OnlyReal mobile application, website, admin interface or related services (collectively, the "Service"), you agree to this User Agreement and confirm that you satisfy the eligibility requirements in this Agreement, including that you are at least 18 years old. This Agreement also includes our Privacy Policy Statement and Personal Information Collection Statement, community rules, safety notices, subscription terms and any additional terms shown in a feature or purchase page.

If you do not agree to this Agreement, do not use the Service.

The disclaimers, limitations of liability and indemnity provisions in this Agreement apply only to the fullest extent permitted by applicable law. Nothing in this Agreement excludes or limits liability, statutory rights, personal data privacy rights or regulatory obligations that cannot lawfully be excluded or limited.

This Agreement may be provided in English, Traditional Chinese and Simplified Chinese. If there is any inconsistency between language versions, the Traditional Chinese version prevails to the fullest extent permitted by applicable law.

2. Nature of the Service

OnlyReal is an adult social, dating, restaurant activity and matching platform. The Service may include:

OnlyReal is not a marriage agency, background check provider, safety guarantee service, restaurant agent, transport service, medical, psychological, legal, financial or other professional adviser. OnlyReal does not guarantee any match, meeting, relationship, restaurant, activity, user identity, user character, user safety or the absolute accuracy of user information.

3. Eligibility

You may use the Service only if all of the following are true:

  1. you are at least 18 years old and confirm that you are at least 18 years old when you register, sign in and use the Service;
  2. you have legal capacity to enter into a binding contract with us;
  3. you are not prohibited by applicable law from using dating, social, communication or related online services;
  4. your history of violence, sexual offences, fraud, harassment, stalking, human trafficking, money laundering or other serious misconduct does not create an unreasonable risk to other users or OnlyReal;
  5. we have not terminated or permanently banned your account, unless we have agreed in writing that you may register again;
  6. you will create and use only one account for yourself and will not use an ordinary user account on behalf of a company, organisation or another person;
  7. you will not create an account for anyone under 18, allow anyone under 18 to use your account, or help anyone under 18 bypass age restrictions.

If you no longer meet these requirements, you must stop using the Service immediately and delete your account. We may suspend, restrict or terminate your account where reasonably necessary.

If you are under 18 and use the Service, or if you misrepresent your age, you materially breach this Agreement. You must stop using the Service immediately. We may restrict, suspend or delete the account, remove related content, keep necessary safety and legal records, and process related information to the extent permitted or required by law. If a parent, guardian or other adult knowingly allows or helps a person under 18 use the Service, that adult is responsible to the extent permitted by law for their conduct and resulting claims, losses or costs.

OnlyReal takes reasonable steps to restrict use by persons under 18, but we cannot guarantee that all users truthfully state their age or that we will detect every false age, false identity or account sharing situation in advance or immediately. You should use the report, block/mute and support functions to report any account you reasonably suspect is under 18 or unsafe.

4. Account and Sign-In

You may need to sign in using Apple, Google or another supported method. Third-party sign-in is used to authenticate your external identity. OnlyReal separately creates and manages your Service account, sessions and access rights.

You must ensure that the information you provide is true, accurate, current and complete, including age, profile, photos, contact details and subscription or payment-related information. You should update your information promptly if it changes.

You are responsible for protecting your device, credentials and account. If you suspect unauthorised use of your account, contact us immediately.

You must not sell, rent, transfer, share or lend your account.

5. Your Content

"Your Content" means any information or content you create, upload, enter, send or display in the Service, including profiles, photos, avatars, bios, interests, prompt answers, room information, chat messages, image messages, feedback, reports, verification submissions and other user-generated content.

You retain the rights you lawfully own in Your Content. To provide the Service, you grant us a non-exclusive, worldwide, royalty-free, sublicensable and transferable licence to use, host, store, copy, display, transmit, adapt, reformat and process Your Content to the extent reasonably necessary for operating, displaying, storing, transmitting, backing up, reviewing, translating, formatting, recommending, ranking, securing, supporting, debugging, improving and promoting the Service.

We use this licence only as reasonably necessary. Unless you separately agree, we do not sell your personal photos or private chats as third-party advertising materials.

You represent and warrant that:

6. Other Users' Content

Content provided by other users belongs to that user or their rights holder. Unless a Service feature clearly allows it or you have obtained the other user's consent, you must not copy, screenshot and distribute, download, publicly post, commercially use, train models with, harass, shame, dox or otherwise misuse another user's content.

Although this Agreement prohibits misuse of content, we cannot guarantee that other users will never screenshot, record, forward or use outside the Service information that you publicly or voluntarily share. Share personal information carefully.

7. Public Display and Privacy Settings

Your profile, photos, bio, age or age range, gender display, region, interests, prompt answers, room or activity information, recommendation tags and certain safety signals may be shown to other users depending on your settings and Service logic.

You may use privacy or visibility settings we provide, such as Public Discovery Hide, Contacts Hide, Matched Users Hide or other controls, to limit certain exposure scenarios. These settings may not remove existing chats, created rooms, directly linked visible content, information we must retain by law, or information necessary for safety review.

8. Prohibited Conduct

You must not use or help others use the Service to:

  1. impersonate others or misrepresent age, identity, gender, relationship status, occupation, school, photos or important information;
  2. create an account for a person under 18, help a person under 18 use the Service, invite a person under 18 to dating or social activities, or continue dating, sexual, money-related or offline meeting interactions when you know or reasonably should know that the other person is under 18;
  3. harass, threaten, intimidate, stalk, shame, bully, use hate speech, discriminate or incite violence;
  4. upload or send pornography, explicit nudity, sexual exploitation, sexual content involving minors, non-consensual intimate images, violence, gore, terrorism, human trafficking or other illegal content;
  5. defame, spread unverified or malicious accusations, publicly shame, rating-shame, dox, blackmail, threaten to disclose personal information, objectify, insult or harm real people;
  6. request, induce or exchange money, gifts, investments, cryptocurrency, loans, sexual services, paid dating, sugar dating, gambling or other commercial transactions;
  7. send spam, advertising, recruitment, promotions, phishing links, malware, scams or off-platform diversion;
  8. collect, scrape, crawl, request, sell or misuse other users' personal data;
  9. disclose another person's personal data, address, phone number, workplace, chat records, photos or other identifiable information without consent;
  10. bypass, damage, reverse engineer, scan, attack or interfere with the Service, servers, APIs, payments, recommendations, safety or verification systems;
  11. create bots, fake accounts, bulk accounts or use the Service through automation;
  12. submit false, malicious or abusive reports;
  13. harass someone you met through OnlyReal outside the Service, including after they rejected you, unmatched, stopped replying or did not agree to exchange contact details;
  14. do anything illegal, contrary to this Agreement, community rules or the intended use of the Service.

9. Moderation, Reports and Restrictions

We may use automated tools, human review, user reports, trust and safety signals and third-party service providers to detect, review or handle prohibited content and conduct.

We are not obliged to pre-screen, continuously monitor or guarantee removal of all user content, messages, profiles or off-service conduct. Even if we review content, issue safety notices, provide verification, safety signals, reporting or blocking features, we do not assume security, background check, identity verification, on-site supervision or continuous monitoring responsibilities.

Where reasonably necessary, we may take one or more of the following actions:

To the fullest extent permitted by law, we are not liable for good-faith actions, refusals or delays in review, restriction, termination, preservation, disclosure, refusal to disclose or safety handling measures.

If you experience misconduct, use the in-app report, block/mute or support functions. We review and handle reports within a reasonable time according to the nature of the incident, safety risk, available evidence and legal requirements.

10. Real-Person Verification and Safety Signals

OnlyReal may provide real-person verification, such as selfie photos, selfie videos, pose challenges, manual review or other trust and safety processes. By submitting verification materials, you agree that we may process them as described in the Privacy Policy.

A verification badge or safety signal only means that the account completed a particular review or met a particular signal under OnlyReal's process at that time. It does not mean that:

You remain responsible for deciding whether to chat, exchange contact details or meet offline.

11. Chat, Rooms, Queue and Contact Exchange

OnlyReal social interactions may operate through rooms, queue applications, threads, messages or contact swaps. You must respect each flow's limits and must not bypass safety or progress rules.

You must not request or pressure another user to provide a phone number, social account, address, payment details, identity documents, intimate images or other sensitive information before they consent.

If you use contact swap, you must provide a real contact method that belongs to you and that you are willing to share. Providing false contact details, malicious swapping, pressure, harassment or misuse of contact details outside the Service may lead to restriction, termination or safety handling.

12. Anti-Scam, Money Transactions and Off-Platform Risk

OnlyReal is a social, dating and restaurant activity platform. It is not a payment, investment, lending, remittance, cryptocurrency, purchasing, recruitment, charity fundraising, financial advisory or asset recovery service. You must not use the Service to conduct, assist, promote, direct or disguise scams, fraud, phishing, money laundering, illegal fundraising, investment promotions, lending, gambling, fake recruitment, fake charity, payment collection or transfer, gift card trading, cryptocurrency trading, account trading, identity misuse, asset recovery schemes or other suspicious money arrangements.

You must not request, induce, pressure or deceive other users to:

If another user asks for money, investments, gift cards, cryptocurrency, loans, identity documents, one-time passwords, off-platform payments or suspicious links, stop interacting immediately, use the in-app report and block/mute functions, and seek help from police, banks, wallet providers or relevant organisations where necessary. In Hong Kong, if you suspect a scam, you may consider contacting the Hong Kong Police Anti-Deception Coordination Centre or using its anti-scam enquiry channels.

OnlyReal may remove suspicious content, restrict, suspend or terminate accounts, preserve related account, message, login, device, transaction lead, report and safety records, and disclose necessary information to law enforcement, regulators, victim support channels, payment or security service providers to the extent permitted or required by law.

Unless applicable law provides otherwise, OnlyReal is not responsible for transfers, remittances, investments, loans, gift cards, cryptocurrency, off-platform payments, off-platform transactions or other off-service money arrangements that users voluntarily make or are induced by third parties to make. Safety tips, report handling, verification badges or risk signals do not guarantee that other users will not scam, deceive, break the law or behave improperly.

13. Offline Meetings and Restaurant Activities

OnlyReal may help users create, apply for or manage restaurant and social activities, but we are not the provider of restaurants, venues, transport, payment or offline dates.

You understand that any real-world date, restaurant activity, offline meeting, departure, transport, journey home, post-meeting communication, repeat meeting or other off-service interaction with other users is decided by the users involved and is at their own risk. OnlyReal does not provide security escorts, supervise venues, verify every offline arrangement or control offline conduct by users or third parties.

You are responsible for:

If you feel unsafe, leave immediately and contact a trusted person or relevant organisation. In emergencies, contact local emergency services.

Unless applicable law provides otherwise, OnlyReal does not supervise, accompany, guarantee or assume responsibility for offline meetings, real-world dates, post-meeting communication, repeat meetings, transport, dining, property or other off-service interactions voluntarily undertaken by you and other users. This includes death, personal injury, sexual assault, violence, harassment, stalking, theft, property loss, emotional harm, fraud, unlawful acts, accidents or other harm caused by other users, restaurants, venues, transport services, third parties or your own conduct. This clause does not exclude or limit liability that cannot lawfully be excluded or limited.

You may still report the relevant account to us. We may take platform measures for safety and legal purposes, such as preserving necessary records, restricting or terminating accounts, conducting safety review, or disclosing necessary information to law enforcement, regulators or victim support channels to the extent permitted or required by law.

14. Vibe Read, Recommendations and AI-Assisted Features

OnlyReal may provide recommendations, Vibe Read, tags, summaries or other AI or algorithm-assisted content based on your profile, answers, interactions, preferences, restaurant selections, feedback and other information.

These outputs are for social discovery and product experience only. They may be incomplete, inaccurate or unsuitable for all situations. You should not treat them as psychological, medical, legal, financial, identity, safety or relationship advice.

You should not enter sensitive information that you do not want processed or displayed. You must not use AI features to create prohibited, infringing, harassing, discriminatory, deceptive or illegal content.

15. Premium Features, Subscriptions and Payments

OnlyReal may offer free and paid features, including recurring subscriptions, Premium feature unlocks or other digital services.

If you purchase digital features or subscriptions in the iOS app, payment, renewal, cancellation and some refund arrangements are usually managed by Apple App Store and your Apple ID. Auto-renewing subscriptions renew according to the period and price shown by Apple until you cancel through Apple's process. You can manage or cancel subscriptions in Apple ID settings. If you do not cancel before Apple's required time, Apple may charge the next subscription period. Deleting your OnlyReal account does not automatically cancel your Apple subscription.

Unless applicable law, Apple rules or our express terms require a refund, completed digital features, subscriptions or service fees are usually non-refundable. Refund requests for Apple ID payments must follow Apple's process.

We may change, add or stop paid features from time to time, but this will not affect rights you lawfully have during a paid period. Prices, features, renewals or trial terms are governed by the purchase page, Apple-displayed information and applicable additional terms.

17. Intellectual Property

The software, interface, design, text, icons, trade marks, logos, databases, recommendation systems, algorithms, admin tools, APIs, documents and other OnlyReal content in the Service are owned by us or licensed to us.

Unless this Agreement clearly allows it, you must not copy, modify, distribute, sell, rent, reverse engineer, create derivative works from, scrape, mirror or otherwise use the Service or OnlyReal content.

18. Privacy

How we collect, use, disclose, retain, transfer and protect personal data is described in the OnlyReal Privacy Policy Statement and Personal Information Collection Statement. That document forms part of this Agreement.

19. Account Deletion and Termination

You may request account deletion in the app. The deletion request places the account into pending deletion and restricts normal use, with a 7-day recovery period. During the recovery period, you may restore the account through the process we provide. After the recovery period ends, we will delete or anonymise personal data in accordance with the Privacy Policy and legal requirements, but may keep information needed for legal, payment, safety, abuse prevention, dispute, law enforcement or audit purposes.

We may also suspend, restrict or terminate your account if you breach this Agreement, create risk, if required by law, or where needed for Service safety.

Account termination does not affect rights, obligations, payments, disclaimers, limitations of liability, content licences, dispute handling or legal requirements that arose before termination.

20. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available". We do not guarantee that the Service will be uninterrupted, error-free, fully secure, meet your expectations, produce any match or result, or that other users, restaurants, activities, recommendations, AI content, safety signals or third-party services will be accurate, reliable or suitable.

OnlyReal age restrictions, reporting, blocking/muting, moderation, verification badges, safety signals and support handling are designed to reduce risk. They are not guarantees of identity, age, background, character, health, intention, criminal record, offline safety or post-meeting safety. If other users misrepresent age, identity or information, we may act under this Agreement, but we do not guarantee advance or immediate detection of all violations.

You use the Service, share information, chat, exchange contact details, meet offline and interact after meetings at your own risk. You should not treat OnlyReal as an emergency assistance, safety escort, identity verification, background check, counselling or legal protection service.

21. Limitation of Liability

To the fullest extent permitted by law, Onlyreal Limited, its directors, employees, contractors, service providers and licensors are not liable for indirect, incidental, special, punitive or consequential losses, loss of profits, loss of goodwill, data loss, emotional harm or losses arising from use or inability to use the Service.

To the fullest extent permitted by law, we are also not liable for losses arising from other users' or third parties' conduct, content, false age, false identity, unlawful acts, off-service contact, offline meetings, real-world dates, post-meeting communication, repeat meetings, transport, restaurants or venues, transfers, remittances, investments, loans, gift cards, cryptocurrency, off-platform payments, other off-service money arrangements, or our good-faith actions or inactions in content review, safety handling, account restriction, account termination, data preservation or disclosure.

If liability cannot be fully excluded by law, our total liability is limited to the higher of the amount you actually paid to OnlyReal in the 12 months before the event giving rise to the claim, or HKD 800. This limitation does not exclude or limit liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence where such liability cannot lawfully be excluded or limited, fraud, PDPO obligations or other non-excludable liability under applicable law.

22. Your Indemnity

If your breach of this Agreement, unlawful conduct, infringement of rights, Your Content, interactions with other users, misuse of the Service, scam, money transaction, off-platform payment, investment promotion, lending, money laundering or other high-risk arrangement causes us claims, losses, liabilities, costs or expenses, you agree to indemnify us to the extent permitted by law, including reasonable legal fees, investigation costs, law enforcement or regulatory response costs, platform safety handling costs and settlement costs.

23. Changes to the Service or Agreement

We may update, modify, suspend, restrict or stop the Service, features, content, recommendations, algorithms, subscription plans, prices, activities, restaurant information, verification processes, safety processes or technical configurations from time to time. Unless applicable law requires otherwise, we are not liable to you or any third party for those changes, suspensions, restrictions or discontinuations.

We may update this Agreement from time to time. Material changes will be notified by in-app notice, email, updated date or other reasonable means. Unless law requires otherwise, your continued use after the changes take effect means you accept the updated terms. If you do not agree, stop using the Service and you may delete your account.

24. Other Legal Terms

If any provision of this Agreement is held invalid, unenforceable or inapplicable, that provision will be removed or limited only to the extent necessary, and the remaining provisions continue in effect.

Our failure or delay in exercising any right under this Agreement does not waive that right. A waiver on one occasion is not a waiver of the same or any other right in the future.

You may not assign or transfer this Agreement or account rights without our written consent. We may assign or transfer this Agreement, the Service, rights, obligations and related information in connection with merger, acquisition, restructuring, financing, asset transfer, intra-group arrangement, service operations transfer or legal requirement, while handling personal data in accordance with the Privacy Policy and applicable law.

Except for Apple or other named third-party beneficiaries expressly stated in this Agreement, this Agreement does not give any third party a direct right to enforce it against us.

To the fullest extent permitted by law, we are not responsible for failure or delay caused by events beyond our reasonable control, including natural disasters, war, riots, government or regulatory action, legal changes, epidemic, power outage, telecommunications or internet failure, cloud or third-party service failure, cyberattack, security incident, labour dispute or other force majeure event.

We may send notices by in-app notice, email, push notification, website announcement, support message or other reasonable means. You must keep your account and contact information accurate and review important service, safety, legal and subscription notices.

25. Governing Law and Disputes

This Agreement is governed by the laws of the Hong Kong Special Administrative Region.

You and we should first try in good faith to resolve disputes relating to this Agreement or the Service through support or written communication. If unresolved, to the fullest extent permitted by law, both parties agree that the courts of Hong Kong have exclusive jurisdiction, without affecting any non-excludable rights you may have under applicable consumer laws.

To the fullest extent permitted by law, any claim between you and us must be brought in an individual capacity and not on behalf of any other person, group or class. Any claim must be brought within 12 months after the event giving rise to the claim occurred or you reasonably should have become aware of it, otherwise it is waived. This paragraph does not apply to claims or rights that cannot lawfully be limited.

Regardless of other terms, if your conduct may cause immediate or irreparable harm to OnlyReal, the Service, intellectual property, system security, platform integrity, user safety or data protection, we may seek injunctions, interim relief, specific performance, disclosure orders or other equitable or emergency relief in any court or body with jurisdiction.
